Terms and Policies

Please read these terms of service and privacy policy carefully as they contain important information regarding your rights, remedies and obligations. These include various limitations and exclusions, a clause that governs the jurisdiction and venue of disputes, and obligations to comply with applicable laws and regulations in Tuitionary.

  • Tuitionary Pte Ltd (herein referred to as “Tuitionary”, “we”, “us”, or “our”) provides an online platform that connects tuition centres with students seeking to engage such services (collectively, the “Services”). Services are accessible at http://tuitionary.com.sg and any other websites through which Tuitionary makes the Services available (collectively, the “Site”).

  • 1 GENERAL TERMS

  • 1.1 Acceptance of Terms

  • 1.1.1 Your use of this Site is subject to these Terms of Use (“Terms”). These Terms apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content. By using the Site, you are deemed to have accepted and agree to be bound by these Terms. We may make changes to these Terms from time to time. We may notify you of such changes by any reasonable means, including by posting the revised version of these Terms on the Site. Your use of the Site following changes to these Terms will constitute your acceptance of those changes.

  • 1.1.2 You affirm that you are either more than 18 years of age, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms, and to abide by and comply with these Terms.

  • 1.2 Modification

  • 1.2.1 Tuitionary reserves the right, at its sole discretion, to modify the Site and the Services or to modify these Terms, at any time and without prior notice.

  • 1.2.2 If we modify these Terms, we will either post the modification on the Site or otherwise provide users with notice of the modification.

  • 1.2.3 By continuing to access or use the Site or Services after we have posted a modification on the Site or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Terms.

  • 1.3 Site Access

  • 1.3.1 You are responsible for all access to the Site using your internet connection, even if the access is by another person.

  • 1.3.2 We will use reasonable efforts to ensure that the Site is available at all times. However, we cannot guarantee that the Site or any individual function or feature of the Site will always be available and/or error free. The Site may be unavailable during periods when we are implementing upgrades or carrying out essential maintenance on the Site.

  • 1.3.3 We make no promise that the materials on the Site are appropriate or available for use in locations outside Singapore. Accessing the Site from territories where its contents are illegal or unlawful is prohibited. If you choose to access the Site from such territories, you do so on your own initiative and are responsible for compliance with local laws of such territories and we will not bear any liability for the consequences arising therefrom.

  • 1.4 Your Use Of The Site

  • 1.4.1 Your permission to use the Site is personal to you and non-transferable, and your use of the Site is conditional on your compliance with the rules of conduct set forth in these Terms. You agree that you will not:

  • (a) use the Site for any fraudulent or unlawful purpose;

  • (b) use the Site to defame, abuse, harass, stalk, threaten or otherwise violate the rights of others, including without limitation others’ privacy rights or rights of publicity;

  • (c) impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with any person or entity in connection with the Site or express or imply that we endorse any statement you make;

  • (d) interfere with or disrupt the operation of the Site or the servers or networks used to make the Site available or violate any requirements, procedures, policies or regulations of such networks;

  • (e) transmit or otherwise make available in connection with the Site any virus, worm or other computer code that is harmful or invasive or may or is intended to damage the operation of, or to monitor the use of, any hardware, software, or equipment;

  • (f) reproduce, duplicate, copy, sell, resell or otherwise exploit for any commercial purposes, any portion of, use of, or access to the Site;

  • (g) modify, adapt, translate, reverse engineer, decompile or disassemble any portion of the Site. If you wish to reverse engineer any part of the Site to create an interoperable program you must contact us and we may provide interface data subject to verification of your identity and other information;

  • (h) remove any copyright, trademark or other proprietary rights notice from the Site or materials originating from the Site;

  • (i) frame or mirror any part of the Site without our express prior written consent;

  • (j) create a database by systematically downloading and storing Site content; and

  • (k) use any manual or automatic device in any way to gather Site content or reproduce or circumvent the navigational structure or presentation of the Site without our express prior written consent. Notwithstanding the foregoing, we grant the operators of public online search engines limited permission to use search retrieval applications to reproduce materials from the Site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of such materials solely in connection with each operator's public online search service.

  • 1.4.2 Tuitionary reserves the right to revoke these exceptions either generally or in specific instances.

  • 1.5 Third Party Websites

  • 1.5.1 The Site may provide links to other websites and online resources. We are not responsible for and do not endorse such external sites or resources. Your use of third party websites and resources is at your own risk.

  • 1.5.2 You may create a link to this Site, provided that the link is fair and legal and is not presented in a way that is:

  • (a) misleading or could suggest any type of association, approval or endorsement by us that does not exist; and

  • (b) harmful to our reputation or the reputation of any of our affiliates.

  • 1.5.3 You retain the legal right and technical ability to immediately remove the link at any time, following a request by us to do so.

  • 1.5.4 We reserve the right to require you to immediately remove any link to the Site at any time and you shall immediately comply with any request by us to remove any such link.

  • 1.6 Intellectual Property

  • 1.6.1 The intellectual property rights in the Site and all of the text, pictures, videos, graphics, user interfaces, visual interfaces, trademarks, logos, applications, programs, computer code and other content made available on it are owned by us and our licensors. You may not print or otherwise make copies of any such content without our permission.

  • 1.7 Collection Of Personal Information

  • 1.7.1 We may collect and use information about you in accordance with our privacy policy. You can view a copy of this policy by clicking here http://tuitionary.com.sg/policy.

  • 1.8 Duration Of Terms

  • 1.8.1 These Terms are effective until terminated. We may, at any time and for any reason, terminate your access to or use of the Site. If we terminate your access to the Site you will not have the right to bring claims against us or our affiliates with respect to such termination. We and our affiliates shall not be liable for any termination of your access to the Site.

  • 1.9 Governing Law

  • 1.9.1 These Terms will be governed by and construed in accordance with the laws of Singapore, and the courts of Singapore will have non-exclusive jurisdiction over any claim or dispute arising under or in connection with these Terms

  • 1.10 Limitation Of Liability

  • 1.10.1 We provide the Site on an “as is” basis and make no representations as to the quality, completeness or accuracy of any content made available on the Site. To the maximum extent permitted by law, we expressly exclude:

  • (a) all conditions, warranties and other terms that might otherwise be implied by law into these Terms; and

  • (b) any and all liability to you, whether arising under these Terms or otherwise in connection with your use of the Site.

  • 1.10.2 The foregoing is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect or consequential damages, loss of data, income or profit, loss of or damage to property and claims of third parties. Notwithstanding the foregoing, nothing in these Terms is intended to exclude or limit any liability that may not by law be excluded or limited, and in particular none of the exclusions and limitations in this clause are intended to limit any rights you may have as a consumer under Singapore law or statutory rights which may not be excluded, nor in any way to exclude or limit Tuitionary’s liability to you for death or personal injury resulting from our negligence or that of our employees or agents.

  • 2 CLIENT’S OBLIGATIONS

  • 2.1 Account Registration

  • 2.1.1 Clients must register to create an account before they can engage a tuition centre. Tuitionary does not currently charge fees for registration and/or for the engagement of tuition centres.

  • 2.1.2 The Client acknowledges and agrees that Tuitionary does not guarantee that any tuition centre engaged through Tuitionary will improve the tutee’s academic performance and agrees to indemnify Tuitionary in this regard.

  • 2.2 Engagement of Tuition Services

  • 2.2.1 Clients may search within all available tuition centres listed on the Site. If the Client requires further information from a tuition centre, the Client may submit a request for a callback via the Site or Services (“Callback Request”). If the Client selects a tuition centre, the Client may then make a reservation via the Site or Services to engage the tuition centre (“Reservation Request”).

  • 2.2.2 The total fees payable will be displayed indicatively to the Client before he/she sends a Reservation Request to the Tuition Centre.

  • 2.2.3 Upon receiving a Reservation Request, the Tuition Centre will be required to either confirm or reject the Reservation Request within two (2) days, otherwise the Reservation Request will automatically expire.

  • 2.2.4 Upon completion of the Reservation Request, the Client is not obliged to but may continue to engage the Tuition Centre’s tuition services.

  • 2.3 Reservations and Cancellations

  • 2.3.1 Tuitionary will use reasonable efforts to ensure that the selected lesson is available. In the event where the selected lesson is unavailable, the Tuition Centre should contact the Client to propose an alternative day and time slot. After the Tuition Centre confirms the Reservation Request, Tuitionary will send a reservation confirmation to the Client and the Client will pay the fees for the lessons reserved on Tuitionary at the Tuition Centre.

  • 2.3.2 Tuitionary will use reasonable efforts to ensure that the total fees payable displayed on the Site in relation to a reservation with a tuition centre are accurate. However, Tuitionary cannot guarantee that the total fees payable displayed are accurate. The Client acknowledges and agrees that there may be instances where the total fees payable displayed may not reflect the accurate amount that the Tuition Centre will collect before commencement of the first lesson. In such instances, the Client agrees to pay the amount that is quoted by the Tuition Centre before the tutee can commence lessons at the Tuition Centre.

  • 2.3.3 The Client may approach and liaise with the Tuition Centre directly to make changes to the reservation. All cancellation or refund requests in relation to a reservation with a tuition centre shall be subject to the Tuition Centre’s prevailing Terms and Conditions.

  • 2.4 Reviews

  • 2.4.1 Upon completion of the Reservation Request, Tuitionary will invite the Client to leave a review and the Client’s review may be published on the Tuition Centre’s profile on the Site.

  • 2.4.2 When the Client’s review is published, the Tuition Centre cannot change or remove any of the reviews. Nonetheless, Tuitionary may, in our discretion, disallow or remove reviews that violate our review guidelines.

  • 2.4.3 All reviews on the Site are based on the individual Client’s opinion and does not represent Tuitionary’s position. Tuitionary makes no warranty regarding the accuracy or truthfulness of the content in the review and disclaims all liability arising from or related to any opinions of the Client.

  • 2.5 Account Closure

  • 2.5.1 We may, in our discretion and without liability to the Client, with or without cause, with or without prior notice and at any time, decide to limit, suspend, deactivate or terminate the Client’s account and his/her access to the Site and Services.

  • 2.5.2 The Client may close his/her Tuitionary account at any time by giving Tuitionary seven (7) business days’ notice of intention and by sending a request via email to enquiry@tuitionary.com.sg. If the Client’s Tuitionary account is closed, Tuitionary is not responsible for the retention and usage of any content that users may have stored in their own files or databases.

  • 3 TUITION CENTRE’S OBLIGATIONS

  • 3.1 Account Registration

  • 3.1.1 Tuition centres must register to create an account before they can list their services. Tuitionary does not currently charge fees for registration and/or for the creation of listings. However, Tuitionary reserves the right, in its sole discretion, to charge and collect fees from the Tuition Centre for the creation of listings. Prior to implementing such a listing fee feature, Tuitionary will provide notice of any listing fee collection via the Site.

  • 3.1.2 When a Tuition Centre registers on the Site, it agrees to provide accurate, current and complete information during the registration process and to update such information to keep it accurate, current and complete. Only tuition centres operating in multiple locations are allowed to create more than one (1) Tuitionary account and Tuitionary reserves the right to validate the existence and operations of the Tuition Centre’s business at the said location. Tuitionary reserves the right to limit, suspend, deactivate or terminate the Tuition Centre’s account(s) and its access to the Site and Services if the Tuition Centre intentionally creates more than one (1) Tuitionary account for any other reason, or if any information provided during the registration process or thereafter proves to be inaccurate, fraudulent, not current or incomplete.

  • 3.1.3 In our sole discretion, Tuitionary may permit the Tuition Centre to post, upload, publish, submit, transmit, or include content in its Tuition Centre profile (collectively, “Partner Content”). The Tuition Centre acknowledges and agrees that it is solely responsible for all Partner Content that it makes available through the Site. By making available any Partner Content through the Site and Services, the Tuition Centre grants consent to all users of the Site to access, view, display, store and reproduce such Partner Content.

  • 3.1.4 The Tuition Centre agrees not to publish any Partner Content in its Tuition Centre profile which directs Clients out of the Site. All Partner Content that the Tuition Centre makes available on the Site must not, under any circumstances, encourage Clients to engage the Tuition Centre’s services directly without using the Site.

  • 3.1.5 The Tuition Centre agrees to indemnify Tuitionary against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:

  • (a) the Tuition Centre’s access to or use of the Site or Services;
  • (b) Partner Content that the Tuition Centre makes available through the Site; and

  • (c) the Tuition Centre’s interaction with any other user of the Site.

  • 3.2 Engagement of Tuition Services

  • 3.2.1 Clients may search within all available tuition centres listed on the Site. If the Client requires further information from the Tuition Centre, the Client may submit a request for a callback via the Site or Services (“Callback Request”). If the Client selects the Tuition Centre, the Client may then make a reservation via the Site or Services to engage the Tuition Centre (“Reservation Request”).

  • 3.2.2 Upon receiving a Reservation Request, the Tuition Centre will be required to either confirm or reject the Reservation Request within two days (2) days, otherwise the Reservation Request will automatically expire.

  • 3.2.3 When the Reservation Request is accepted, the Tuition Centre agrees to:

  • (a) honour any confirmed reservations and take all reasonable actions for Clients to receive tuition services as per the listed information on the Site, including but not limited to the agreed time of lesson, subject, duration and fees;

  • (b) respond directly to the Client on all enquiries in relation to the lessons reserved on Tuitionary, including but not limited to scheduling requests, complaints and disputes;

  • (c) inform the Client directly if there are any unforeseen changes in relation to the lessons reserved on Tuitionary;

  • (d) co-operate with and assist Tuitionary in good faith, and to provide Tuitionary with such information and take such actions as may be reasonably requested by Tuitionary, in connection with any complaints or claims made by Clients or with respect to any investigation undertaken by Tuitionary or a representative of Tuitionary regarding use or abuse of the Site and Services.

  • 3.2.4 Upon completion of the Reservation Request, the Tuition Centre is not obliged to but may continue to provide tuition services to the Client.

  • 3.3 Reviews

  • 3.3.1 Upon completion of the Engagement, Tuitionary will invite the Client to leave a review and the Client’s review may be published on the Tuition Centre’s Profile on the Site.

  • 3.3.2 When the Client’s review is published, the Tuition Centre cannot change or remove any of the reviews. Nonetheless, Tuitionary may, in our discretion, disallow or remove reviews that violate our review guidelines.

  • 3.3.3 All reviews on the Site are based on the individual Client’s opinion and does not represent Tuitionary’s position. Tuitionary makes no warranty regarding the accuracy or truthfulness of the content in the review and disclaims all liability arising from or related to any opinions of the Client.

  • 3.4 Payment of Tuition Fees and Service Fees

  • 3.4.1 After the Tuition Centre confirms the Reservation Request, Tuitionary will send a reservation confirmation to the Client and the Client will pay the fees for the lessons reserved on Tuitionary at the Tuition Centre.

  • 3.4.2 Referrals by Tuitionary to the Tuition Centre can be generated via a Callback Request, or a Reservation Request, or any other source (collectively, “Leads”).

  • 3.4.3 In consideration for the use of Tuitionary’s online marketplace and platform, a fee equivalent to the price of two (2) lessons selected by the Client plus S$5.00 will be levied on the Tuition Centre when a Client successfully engages the Tuition Centre through a Lead generated by Tuitionary (“Service Fee”).

  • 3.4.4 After the completion of the first lesson reserved on Tuitionary, Tuitionary will send an invoice to the Tuition Centre to collect the Service Fee.

  • 3.5 Account Closure

  • 3.5.1 We may, in our discretion and without liability to the Tuition Centre, with or without cause, with or without prior notice and at any time, decide to limit, suspend, deactivate or terminate the Tuition Centre’s account and its access to the Site and Services. If we exercise our discretion under these Terms to do so, any or all of the following can occur with or without any prior notice or explanation:

  • (a) any pending or accepted future reservations will be immediately terminated;

  • (b) we may communicate to the Tuition Centre’s clients that a potential or confirmed reservation has been cancelled;

  • (c) we may contact the Tuition Centre’s clients to inform them about potential alternate arrangements with other tuition providers that may be available on the Site; and

  • (d) if the Tuition Centre owes any amount to Tuitionary, a suspension, deactivation or termination of the Tuition Centre’s account shall not affect the Tuition Centre’s obligation to make payment to Tuitionary.

  • 3.5.2 The Tuition Centre may close its Tuitionary account at any time by giving Tuitionary seven (7) business days’ notice of intention and by sending a request via email to enquiry@tuitionary.com.sg. If the Tuition Centre’s Tuitionary account is closed, Tuitionary is not responsible for the retention and usage of Partner Content that users may have stored in their own files or databases.
